We represent both inexperienced first-time home buyers, as well as sophisticated real estate investors with diverse portfolios of residential and mixed-use properties. In fact, over the past 25 years, our firm has closed thousands of residential and commercial real estate transactions involving sales, acquisitions, and refinances throughout the State of New Jersey. During these transactions, we simultaneously walk our clients through the contract formation and review period, and then through all aspects of the lending and closing procedures. We also represent individuals and legal entities in the drafting and analysis of commercial and residential lease agreements.
As part of our real estate practice, we have drafted Master Deeds and Bylaws for the conversion of multi-unit residential properties and mixed-use buildings to condominium regimes, and for new construction projects requiring State approval for more than 10 units. Furthermore, we have appeared on behalf of individuals and corporate applicants seeking approvals for variances before Municipal Planning and Zoning Boards.
In addition, we represent individuals and groups in all areas of business law, including, but not limited to, the formation of business entities such as corporations, limited liability companies, general partnerships, and limited partnerships. For these various individuals and groups, we draft shareholder agreements and bylaws, operating agreements, partnership agreements, limited partnership agreements, asset sale agreements, and assignment and assumption agreements.
Amongst our many clients, we are privileged to include a major independent New Jersey retail gasoline corporation for which we have acted as outside counsel in every area of its business, from site acquisition and/or lease to complex financial and corporate restructuring, for over 20 years. In addition, for the last seven years, our firm has served as bank review attorneys for the closing of New Jersey commercial loans for a prominent regional bank.
John F. O'Halloran, known amongst his friends and associates as "Jake," is the founder of the law firm which bears his name. The firm is now over 25 years old. He was previously a partner in O'Halloran, Holt & Associates, and before that he was associated with the venerable Hudson County firm of Waters, McPherson, McNeill from 1982-1987. Before graduating from New York Law School, he taught high school students for over a decade at Hudson Catholic High School in Jersey City. From 1968 until 1993, he held the position of adjunct Assistant Professor of Political Science at St. Peter’s College (now University), also in Jersey City.
Christopher D. Vitale graduated Manga Cum Laude from Boston College with a BA in English. Following college, he moved to Rome, Italy, and taught English at a private language school, where students included government and Vatican officials, business executives and high school and college students. After returning home, he enrolled at Catholic University of America, Columbus School of Law. During law school, he interned in the Chancery Court of Hudson County and in the United States District Court for the District of New Jersey. He was also a student-attorney in Catholic University’s nationally-ranked legal clinic. He graduated Cum Laude in 2011 and returned to New Jersey, joining the firm in early 2012.
Paul Kapish graduated Magna Cum Laude from The Richard Stockton College of New Jersey with a B.A. in Philosophy and Religion. While attending New York Law School Mr. Kapish interned with The Law Office of John F. O'Halloran. After graduating from New York Law School Mr. Kapish joined the Cape May County firm, Monzo Catanese, P.C. where he practiced civil litigation, real estate, landlord-tenant, municipal and local government law. Additionally, Mr. Kapish assisted clients in estate administration, estate planning, guardianships, land use and obtaining state and national trade and service marks.
Georgiann Kiniery has been with the firm for 13 years and specializes in wills, trusts, litigation, real estate, and business law.
Orlando Valez is a college student who provides assistance with facilitating operations at the firm.
In addition, our firm, at any given time, employs second and third year law students as law clerks and interns to provide assistance to our firm’s lawyers in areas including legal research, drafting of documents, file control and contact with clients.
